Terms of Service

Please read these Terms of Service ("Terms") carefully before using the stamped.ai website and the Stamped platform (together, the "Service") operated by Stamped, Comptable Professionnel Agréé Inc. ("Stamped", "we").

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to the Terms, you may not use the Service.

1. Language

In accordance with the Charter of the French Language (CQLR, c. C-11) and the Consumer Protection Act (CQLR, c. P-40.1), the French version of these Terms prevails. The English version is provided for convenience. The parties confirm that they have expressly required that this document and all related documents be drafted in French.

2. Description of the Service

Stamped is a cloud platform for accounting firms and Chartered Professional Accountants that supports engagement management, client collaboration, and document organization. The Service is offered on a subscription basis, on the terms agreed with each customer.

3. Eligibility and accounts

The Service is intended for business use and is not directed at consumers within the meaning of the Consumer Protection Act. You must have the legal capacity to enter into a contract and, where applicable, the authority to act on behalf of the organization you represent.

When you create an account, you must provide accurate, complete, and current information. You are responsible for the confidentiality of your authentication credentials (password, magic link, multi-factor codes) and for all activity that occurs under your account. You must promptly notify Stamped at engineering@stamped.ai of any unauthorized access or suspected compromise.

4. Roles regarding personal information

With respect to the data you upload to the Service about your own clients or engagements (the "Customer Data"), you act as the person in charge of the personal information within the meaning of the Act respecting the protection of personal information in the private sector (CQLR, c. P-39.1) as amended by Law 25. Stamped acts as a processor (mandatary) and processes Customer Data only on your documented instructions and to provide the Service.

You are responsible for obtaining all required consents and meeting all notice obligations toward the individuals concerned before uploading their information to the Service. Detailed processing terms (retention periods, security measures, sub-processors, assistance with access requests, incident handling) are set out in our Privacy Policy and, where applicable, in a separate data processing addendum.

5. Fees and billing

Subscription fees, billing frequency, and payment methods are specified in the order form, online sign-up, or other applicable contract document. Unless otherwise stated, fees are payable in advance and non-refundable. Applicable taxes (GST, QST) are extra. Stamped may suspend access to the Service for non-payment after a reasonable notice.

6. Acceptable use

You agree not to:

  • use the Service in violation of applicable law, including the professional rules governing Chartered Professional Accountants;
  • upload illegal, fraudulent, defamatory, or malicious content;
  • attempt to bypass security measures, reverse engineer the Service, or perform penetration testing without our prior written authorization;
  • use the Service to develop a competing product or service;
  • resell, rent, or sublicense access to the Service without our written agreement.

7. Intellectual property

Stamped and its licensors retain all right, title, and interest in and to the Service, the platform, the software, the trademarks, and any improvement or feedback. You retain all rights in the Customer Data. You grant us a limited, non-exclusive, revocable licence to use the Customer Data solely for the purpose of providing, operating, and maintaining the Service.

8. Confidentiality and security

Stamped implements reasonable technical and organizational measures to protect Customer Data. For details, see our Security Statement. We will inform you promptly of any confidentiality incident presenting a risk of serious injury, in accordance with the requirements of Law 25.

9. Service availability

We use commercially reasonable efforts to keep the Service available. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Unless expressly committed in an order form, no service-level guarantee is provided.

10. Suspension and termination

You may terminate your subscription on the agreed terms. Stamped may suspend or terminate your access to the Service, after reasonable notice where circumstances allow, for breach of the Terms, non-payment, risk to the security of the Service or other users, or compliance with the law. On termination, you have 30 days to export your Customer Data, after which it will be deleted in accordance with our Privacy Policy, unless a legal obligation requires a longer retention period.

11. Disclaimer of warranties

Subject to the mandatory provisions of Québec law (including articles 1726 and following of the Civil Code of Québec on warranties of the seller), the Service is provided "as is" and "as available". Stamped does not warrant that the Service will be uninterrupted, error-free, or fit for a particular purpose, unless otherwise expressly committed.

12. Limitation of liability

To the fullest extent permitted by applicable law, Stamped's total cumulative liability arising out of or relating to these Terms or the Service shall not exceed the amount of fees you paid in the twelve (12) months preceding the event giving rise to the claim. Stamped is not liable for indirect, consequential, punitive, or exemplary damages, or for loss of profits, revenue, goodwill, or data.

Nothing in these Terms operates to limit or exclude any liability that cannot, under applicable law, be limited or excluded (including for intentional or gross fault).

13. Indemnification

You agree to indemnify and hold Stamped harmless from any claim, demand, loss, or reasonable expense (including reasonable legal fees) arising from (i) your use of the Service in breach of the Terms or the law, (ii) your content or Customer Data, or (iii) your failure to obtain the required consents from the individuals concerned.

14. Changes

We may modify these Terms from time to time. Where the changes are material, we will provide at least 30 days' prior notice through the Service or by email. Continued use of the Service after the changes take effect constitutes acceptance. If you do not accept the new terms, you must stop using the Service before they take effect.

15. Governing law and jurisdiction

These Terms are governed by the laws in force in the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Any action or proceeding relating to these Terms shall be brought before the competent courts of the judicial district of Montréal, Province of Québec, to the exclusion of any other court, subject to any applicable mandatory provisions.

16. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in force. Stamped's failure to exercise a right does not constitute a waiver of that right. You may not assign your rights or obligations under these Terms without our prior written consent.
